These Terms & Conditions (the “Terms”) govern your access to and use of ultivora.xyz (the “Website”), operated by Ultivora Technologies (“Ultivora”, “we”, “us” or “our”). Please read them carefully. By using the Website, or by submitting your details to us, you agree to be bound by these Terms and by our Privacy Policy.
If you do not agree with any part of these Terms, please do not use the Website.
This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. It is generated by a computer system and does not require any physical or digital signature.
1.About Ultivora and our services
Ultivora is a recruitment and staffing business. We help employers identify and hire suitable people, and we help job seekers learn about opportunities. The Website provides information about us and a way to contact us.
The Website is not a job board, and it does not offer an account, application portal or automated matching service. Opportunities are shared and discussed with candidates directly. Any engagement with an employer is governed by a separate written agreement between that employer and us.
2.Eligibility
You must be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to use the Website. If you are using the Website on behalf of an organisation, you confirm that you are authorised to bind it to these Terms.
3.Acceptable use
You agree to use the Website only for lawful purposes and in a way that does not infringe the rights of, or restrict the use of the Website by, anyone else. You must not:
- Submit false, misleading, incomplete or fraudulent information, or impersonate any person or organisation.
- Submit information about another person without that person’s knowledge and permission.
- Upload or transmit viruses, malicious code or anything designed to disrupt or damage the Website or its infrastructure.
- Attempt to gain unauthorised access to the Website, our systems, or any data held by us.
- Use automated tools such as bots or scrapers to extract content or data from the Website, or to send bulk or repeated submissions.
- Use the Website to send unsolicited commercial messages, to harass, threaten or defame any person, or to post unlawful, discriminatory or offensive material.
- Use our name, brand or content in a way that suggests an affiliation or endorsement that does not exist, including in fake job offers.
4.Information you submit
You are responsible for the accuracy and lawfulness of everything you submit to us. If you are a candidate, you confirm that your qualifications, experience and other details are true, and that you will tell us promptly if they change. Providing false or misleading information may lead us to stop considering you for opportunities and may have legal consequences under applicable law.
By submitting information to us, you grant us a limited, non-exclusive permission to store and use it to respond to you and to provide our services, as described in our Privacy Policy. You retain ownership of your information.
5.No fees from candidates
We do not charge candidates any fee at any stage, whether for registration, profile creation, interview, placement or joining. We do not ask for deposits, payments or the retention of original documents. If anyone asks you for money in our name, please treat it as fraud and report it to us immediately. See our Candidate & Fair Recruitment Policy and our Recruitment Fraud Alert.
6.Employers and business clients
Employers who engage us do so under a separate written agreement that sets out the scope of services, commercial terms, confidentiality, replacement or guarantee terms (if any), and other conditions. If there is any conflict between these Terms and such an agreement, the agreement prevails for the services it covers.
Employers remain solely responsible for their hiring decisions, for the terms and conditions of employment they offer, for conducting such further checks as they consider appropriate, and for complying with all laws that apply to them as employer or principal employer.
7.No guarantee of employment or hiring
We work diligently to match people and opportunities, but we do not guarantee that a candidate will be interviewed, shortlisted, offered or hired, or that an employer will find a suitable candidate within any particular time. Decisions to hire or to accept an offer are made by the employer and the candidate, not by us.
8.Intellectual property
All content on the Website, including text, graphics, logos, design, layout and software, is owned by or licensed to Ultivora Technologies and is protected by Indian and international intellectual property laws. You may view the Website and print or download extracts for your personal, non-commercial use, provided you keep all proprietary notices. You may not copy, modify, distribute, sell or create derivative works from the Website or its content without our prior written permission.
The names and logos of other organisations that appear on the Website belong to their respective owners.
9.Third-party links and content
The Website may contain links to websites operated by others. We provide these for convenience, do not control them, and are not responsible for their content, accuracy, security or privacy practices. A link is not an endorsement.
10.Privacy
Our Privacy Policy explains how we handle personal data and forms part of these Terms. Our Cookie Policy explains how the Website uses cookies and similar technologies.
11.Disclaimer of warranties
The Website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties, express or implied, about the Website’s accuracy, completeness, reliability, availability or fitness for a particular purpose. Please read our Disclaimer, which forms part of these Terms.
12.Limitation of liability
To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, opportunity, goodwill or data, arising from your use of, or inability to use, the Website or from any decision you make based on its content.
Where liability cannot be excluded by law, our total liability to you in connection with the Website is limited to the amount, if any, that you paid to us for the relevant services. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded or limited under applicable law.
13.Indemnity
You agree to indemnify and hold harmless Ultivora, its directors, employees and representatives against claims, losses and reasonable expenses arising from your breach of these Terms, your submission of false or unlawful information, or your violation of any law or the rights of any third party.
14.Suspension and termination
We may restrict, suspend or block your access to the Website, without notice, if we reasonably believe you have breached these Terms or applicable law, or to protect the security of the Website. Provisions that by their nature should survive termination, including those on intellectual property, liability and governing law, will do so.
15.Electronic communications
By contacting us through the Website you consent to receive communications from us electronically, including by email, telephone or messaging, in relation to your enquiry. These communications satisfy any legal requirement that they be in writing.
16.Events beyond our control
We are not responsible for any failure or delay in providing the Website or our services that results from events beyond our reasonable control, including natural disasters, epidemics, government action, power or telecommunications failure, or cyber-attacks despite reasonable safeguards.
17.Governing law and dispute resolution
These Terms are governed by the laws of India. If a dispute arises, we encourage you to first raise it with us under our Grievance Redressal Policy so that we can try to resolve it in good faith.
If the dispute is not resolved amicably, it is subject to the exclusive jurisdiction of the competent courts in India having territorial jurisdiction over our registered office, without prejudice to any mandatory right or remedy you may have under law.
18.General provisions
- Severability: if any provision is held invalid or unenforceable, the rest of the Terms continue in effect.
- No waiver: a failure or delay in enforcing a right is not a waiver of that right.
- Assignment: you may not assign your rights under these Terms without our consent. We may assign ours in connection with a reorganisation or sale of our business.
- Entire agreement: these Terms, together with the Privacy Policy, Cookie Policy and Disclaimer, are the entire agreement between you and us about the Website.
19.Changes to these Terms
We may update these Terms from time to time. The “Last updated” date shows the latest version, and your continued use of the Website after a change means that you accept the revised Terms.
